Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Sahay platform, mobile application, and website at www.sahay.io (together, the “Service”). Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who We Are and Acceptance of Terms

The Service is operated by Brainstack Technologies Private Limited (“Brainstack,” “we,” “our,” or “us”), a company incorporated in India that operates under the brand name “Sahay.”

By using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

Sahay is an AI sales assistant that helps sales teams capture and act on customer conversations. The Service can, depending on the features you enable:

  • Capture and analyze conversations across channels including WhatsApp, phone calls, Instagram, IndiaMART, and your website.
  • Automatically create and update customer and lead records in a built-in CRM.
  • Generate transcriptions, summaries, sentiment analysis, and follow-up suggestions using AI.
  • Track follow-ups, tasks, and reminders so opportunities are not missed.

We may add, change, or remove features from time to time. We will use reasonable efforts to keep the Service available, but we do not guarantee that it will be uninterrupted or error free.

3. Eligibility and Account Registration

  • The Service is intended for business use. You must be at least 18 years old to use it.
  • You must provide accurate and complete information when you register and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Notify us promptly at sales@sahay.io if you believe your account has been accessed without authorization.

4. Acceptable Use

You agree not to use the Service to do any of the following, and not to permit others to:

  • Break any applicable law or regulation, or infringe the rights of others.
  • Upload, process, or send content you do not have the right to use, or that is unlawful, harmful, or misleading.
  • Send spam or unsolicited messages, or use the Service in a way that violates the terms of any connected channel (for example, WhatsApp or Instagram).
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, or interfere with the operation or security of the Service.
  • Resell or provide the Service to third parties except as expressly permitted by us in writing.

You are responsible for obtaining any consents required from the individuals whose data you process through the Service, including consent to record or analyze conversations where the law requires it.

5. Subscriptions, Billing, and Payment

  • Some features of the Service are offered on paid subscription plans. The features and limits of your plan are shown at the time of purchase or in your account.
  • Fees are billed in advance for the applicable subscription period and, unless stated otherwise, are exclusive of taxes. You are responsible for all applicable taxes, including GST, where required by law.
  • Unless you cancel before the renewal date, paid plans renew automatically for successive periods at the then current rate.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and, except where required by law, fees already paid are non-refundable.
  • We may change our prices. We will give reasonable notice of price changes before they take effect for your next renewal.

6. Intellectual Property

The Service, including its software, design, text, and branding, is owned by Brainstack or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You retain all rights to the data and content you upload or generate through the Service (“Your Content”). You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service as described in these Terms and the Privacy Policy.

7. Third-Party Services

The Service integrates with third-party platforms and providers, including the Meta and WhatsApp Business Platform, to deliver its features. Your use of those platforms through the Service is also subject to their own terms and policies. For WhatsApp, this includes Meta’s applicable terms and the WhatsApp Business Messaging Policy.

We are not responsible for the availability, content, or practices of third-party services. Your relationship with any third-party provider is governed by that provider’s terms.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read the Privacy Policy. If you wish to request deletion of your data, please see our Data Deletion page.

9. Disclaimers and Limitation of Liability

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated outputs (such as summaries, transcriptions, scores, and suggestions) may contain errors. You are responsible for reviewing them before relying on or acting on them.

To the maximum extent permitted by law, Brainstack will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

10. Termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to the Service or other users.
  • On termination, your right to use the Service ends. Sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, notify you within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law and Contact

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service are subject to the exclusive jurisdiction of the competent courts in India.
